1. Introduction
Welcome to Everyvue. These Terms of Service ("Terms") govern your access to and use of theEveryvue platform, operated by Updata Group Ltd ("we", "us", or "our").
By accessing or using our services, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our services.
2. Description of Service
Everyvue is a beneficiary tracking and business intelligence platform designed for charities, youth services, housing associations, and social enterprises. Our platform enables organisations to track participants, manage programmes, monitor compliance, and generate impact reports.
3. Account Registration
To use our services, you must:
- Be at least 18 years of age
- Provide accurate and complete registration information
- Maintain the security of your account credentials
- Notify us immediately of any unauthorised access to your account
- Be responsible for all activities that occur under your account
Access to Everyvue is by invitation only. You must receive an invitation from an existing organisation administrator to create an account.
4. Acceptable Use
You agree not to:
- Use our services for any unlawful purpose
- Violate any applicable laws or regulations
- Infringe the rights of others
- Upload or transmit malicious code or viruses
- Attempt to gain unauthorised access to our systems
- Interfere with or disrupt our services
- Share your account credentials with others
- Use the platform to store or process data in breach of data protection laws
5. Data and Content
Your Data
You retain ownership of all data you upload to Everyvue. You are responsible for ensuring you have the necessary rights and permissions to upload and process such data, particularly any personal data relating to beneficiaries or service users.
Data Protection
Where you upload personal data to our platform, you act as the data controller and we act as a data processor. You must ensure your use of our services complies with all applicable data protection laws, including UK GDPR.
6. Intellectual Property
All intellectual property rights in the Everyvue platform, including software, design, logos, and documentation, are owned by or licensed to Updata Group Ltd. These Terms do not grant you any rights to use our intellectual property except as expressly permitted.
You grant us a limited licence to use your data solely for the purpose of providing our services to you.
7. Payment Terms
If your use of Everyvue requires payment:
- Fees are as quoted at the time of purchase
- Payment is due in accordance with the agreed billing cycle
- All fees are exclusive of VAT unless otherwise stated
- We may change our fees with 30 days' notice
- Non-payment may result in suspension or termination of services
8. Service Availability
We aim to provide reliable access to our services but do not guarantee uninterrupted availability. We may suspend access for maintenance, updates, or other operational reasons. We will endeavour to provide advance notice of planned maintenance where possible.
9. Limitation of Liability
To the maximum extent permitted by law:
- Our services are provided "as is" without warranties of any kind
- We are not liable for any indirect, incidental, or consequential damages
- Our total liability shall not exceed the fees paid by you in the 12 months preceding the claim
- We are not liable for any loss of data, revenue, or business opportunities
Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, fraud, or any other liability that cannot be excluded by law.
10. Indemnification
You agree to indemnify and hold harmless Updata Group Ltd and its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of our services or breach of these Terms.
11. Termination
We may suspend or terminate your access to our services:
- If you breach these Terms
- If required by law
- If your account remains inactive for an extended period
- If you fail to pay applicable fees
Upon termination, you will have a reasonable period to export your data. After this period, we may delete your data in accordance with our data retention policies.
12. Changes to Terms
We may modify these Terms at any time. We will notify you of material changes by email or through the platform. Your continued use of our services after such notification constitutes acceptance of the modified Terms.
13. Governing Law
These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
14. Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
